TERMS & CONDITIONS ON THE PARTICIPATION IN WEBINARS
For United States residents, the participation in the webinar is offered by Shainin LLC and for users outside the United States (including, without limitation, European and United Kingdom residents), the participation in the webinar is offered by Shainin GmbH (Shainin LLC and Shainin GmbH, collectively, “Shainin”, “we”, or “us”). This webinar is directed exclusively at companies and merchants (“Customers” or “you”).
Price. The webinar may be free of charge or subject to the price posted at registration. Any and all prices are subject to change without notice. Posted prices do not include taxes or other similar charges. All such taxes and charges will be added to your total. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors. Terms of payment are within our sole discretion and, unless otherwise agreed by us in writing, payment must be received by us before our acceptance of registration. You represent and warrant that (i) the credit or debit card information or other payment information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such payment information for the purchase, (iii) charges incurred by you will be honored by your financial institution, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.
Speakers and Registrants. Webinar events and recordings are to be viewed by the registrant only. Shainin determines at its own discretion, the content of the webinar and the participating speakers and presenters.
Intellectual Property. The webinar materials are protected by copyrights, trademarks, or are subject to other proprietary rights. Accordingly, you are not permitted to use the webinar materials in any manner, except as expressly permitted by Shainin in these webinar terms or Shainin’s Terms of Use. The webinar and its materials may not be copied, recorded, reproduced, modified, published, uploaded, posted, transmitted, or distributed by you in any way without the express written consent of Shainin, and you agree not to use, reproduce, modify, rent, lease, loan, sell, distribute, transmit, broadcast, or create derivatives of the webinar or its materials without the express written consent of Shainin or the applicable owner. Some of the content in the webinar may be owned by individual presenters or third parties and is included in the webinar under a license or agreement. Notwithstanding the foregoing, Shainin may make a copy of the webinar presentation, including materials such as workbooks, available before, during, or after the webinar event and, if provided, such materials are licensed solely for your personal non-commercial use only. Any breach of copyright or other intellectual property rights, including recording the presentation or any unauthorized use of the webinar content, may lead to legal action. Shainin reserves all rights in the webinar events, recordings and all related materials.
Disclaimers. The webinar and its contents are provided in confidence. Shainin makes no representations or warranties with respect to the webinar and its content. Shainin is not liable for the content of the webinar, quality of presentation, or if learning outcomes did not meet any expectations. Shainin does not guarantee that the presentation of the webinar is free of errors or that any webinar will function without interruption and Shainin does not give any warranty with respect to the context or content of any webinar. To the greatest extent permitted by law, Shainin is not liable, regardless of the cause, for any costs or damage caused by (i) (business) decisions made by Customers or any other participants of the webinars based on the webinar or (ii) the provision of incorrect or incomplete information in the webinar. UNDER NO CIRCUMSTANCES SHALL SHAININ OR ANY OF ITS THIRD-PARTY LICENSORS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, LOSS OF INFORMATION, TRANSACTION LOSSES, OPPORTUNITY COSTS, INTERRUPTION OF BUSINESS OR COSTS OF PROCURING SUBSTITUTE GOODS) RESULTING FROM, ARISING OUT OF OR IN ANY WAY RELATING TO THE WEBINARS OR SHAININ’S PROVISION OF THE WEBINARS, REGARDLESS OF THE FORM OF THE CLAIM OR ACTION, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE OR OTHERWISE, AND REGARDLESS OF WHETHER OR NOT SUCH DAMAGES WERE FORESEEN, UNFORESEEN OR FORESEEABLE, EVEN IF THE SHAININ OR ITS THIRD-PARTY LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BY ACCESSING ANY WEBINAR OR RELATED MATERIALS SUBJECT TO THESE TERMS OF USE, YOU UNDERSTAND THAT YOU ARE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD, AND HEREBY EXPRESSLY WAIVE, THE BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE, COUNTRY OR TERRITORY, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST MATERIALLY AFFECT HIS OR HER SETTLEMENT WITH THE DEBTOR.” SOME STATES AND JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. WHEN IMPLIED WARRANTIES ARE NOT ALLOWED TO BE EXCLUDED IN THEIR ENTIRETY, THEY WILL BE LIMITED TO THE SHORTEST DURATION PERMITTED BY LAW. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE. IN ANY CASE, COMPANY’S AND ITS LICENSORS’ ENTIRE LIABILITY UNDER ANY PROVISION OF THESE TERMS WILL BE LIMITED TO ONE DOLLAR ($1.00).
Recordings. Shainin may record audio and any documents and other materials exchanged or viewed during the webinar session. By joining a webinar session, you automatically consent to such recordings. If you do not consent to the recording, please do not attend the webinar.
Software. Webinar participation may require you to configure your software settings on your web-device upon first use, or require you to download the software for your operating system. Please note that you may require administrator privileges on your computer to be able to manually install software.
Cancellation. You may cancel your registration for a webinar any time prior to the event. If for any reason, the presentation is required to be canceled by Shainin, Shainin will notify you as soon as possible.
Privacy. In the context of registration and participation in the webinar, Shainin will process personal data of Customer. Shainin will process this personal data in accordance with the Data Protection information below.
Terms of Use. Shainin’s Terms of Use are incorporated herein by reference and should be read in conjunction with these webinar terms.
Consumers Outside the United States. Consumers in the meaning of Sec. 13 of the German Civil Code (BGB) cannot participate in the webinar. For Consumers outside the United States, these terms and conditions shall be subject to German law without its provisions on the conflict of laws. For customers outside of the United States which are merchants, legal persons under public law, or special assets under public law, the exclusive place of jurisdiction shall be the seat of Shainin GmbH.

It is important to Shainin LLC, Shainin GmbH (for consumers outside the United States), and each of their affiliates (collectively, “Shainin”) to help our customers and prospective customers to retain their privacy when they visit this webinar. Your privacy is important to us. Therefore, we will protect the information you disclose to us in this context. Your personal registration information will not be sold or leased to any third party. When you register for a webinar with Shainin, you are asked to provide us with your personal information, including your name, email address, phone number, employer and title.
This information entails personal data and the processing of your personal data is necessary in order to satisfy the Terms and Conditions, above, and provide you with webinar as requested by you. The provision of personal data is not required by law but is necessary for the performance and participation in the webinar.
The webinar may be recorded for Shainin’s internal business purposes and to provide the webinar to those who may have been unable to attend. The recording covers only the screen and the person speaking. A list of individuals who attended the information may be disclosed with the presenter(s). Any questions you may raise during the webinar will be entered in a chat window for the presenter. When providing your personal information in the chat window, please provide only relevant information and do not provide unnecessary personal or sensitive information as such information could be viewable by the presenter(s) or other attendees.
